Terms and Conditions for Axon 360 Exclusive Access Referral Program

These Terms and Conditions ("Terms") govern your participation in the Axon 360 Exclusive Access Referral Program ("Program") operated by HyperCapital UAB ("Company"), a company registered under the laws of Lithuania, registry code 306649190, with its registered address at Vilnius, Upės g. 23-1, LT-08128 ("we", "us", or "our").

By participating in the Program, you ("Participant") agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not participate in the Program.

1. Eligibility

1.1. The Program is open to individuals who are at least 18 years old or the age of majority in their jurisdiction, whichever is greater.

1.2. Employees, officers, directors, agents, and representatives of the company and its affilaites, as well as their immediate family members and household members, are not eligible to participate in the Program.

1.3. The Program is only available in jurisdictions where the Axon 360 mobile application is available. Geographic restrictions will be applied based on the discretion of the Company.

2. Program Participation

2.1. To participate in the Program, you must create an account with email through the interface provided for on the webpage of the program and refer friends through the procedure described in the documentation of the program.

2.2. Your referred friends must sign up for the provided services or otherwise contribute to the various referral mechanisms introduced in the platform as per the documents published for it.

3. Referral Milestones and Rewards

3.1. Participants can earn rewards based on the number of successful referrals achieved. The rewards for each milestone are as follows:

• Milestone 1: Refer 1 Friendsome text
  • Bronze non-transferable Axon Exclusive Access NFT
  • 50 360Beta tokens
• Milestone 2: Refer 5 Friendssome text
  • Silver non-transferable Axon Exclusive Access NFT
  • 200 360Beta tokens
• Milestone 3: Refer 10 Friendssome text
  • Early access to the app
  • Ability to grant early access to 3 people
  • Gold non-transferable Axon Exclusive Access NFT
  • 500 360Beta tokens
• Milestone 4: Refer at least 20 Friendssome text
  • Early access to the app
  • Ability to grant early access to 3 people
  • Lifetime early access to new features and feedback sessions with the founding team
  • Platinum non-transferable Axon Exclusive Access NFT
  • 1000 360Beta tokens

3.2. Rewards are non-transferable and will be associated with the wallet of your choice.

3.3. All tokens and NFTs will be deployed to the Holding Wallet associated with your Instant Wallet within the app.

4. Claiming Rewards

4.1. Participants must achieve Axon 360 Defier level within the app to be eligible for rewards.

4.2. Rewards must be claimed within 30 days after the Exclusive Access program concludes. Notification emails will be sent once the program ends.

4.3. Exclusive Access tokens are convertible to Axon tokens upon the Token Generation Event (TGE).

5. General Conditions

5.1. The Company reserves the right to modify, suspend, or terminate the Program or any part of it at any time without prior notice.

5.2. The Company reserves the right to disqualify any Participant who violates these Terms or engages in fraudulent or inappropriate conduct.

5.3. Participants are responsible for any taxes or other fees related to the rewards received through the Program.

5.4. The Company reserves the right to apply geographic restrictions to the Program based on the availability of the Axon 360 mobile application in different jurisdictions.

6. Limitation of Liability

6.1. To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Program.

7. Governing Law

7.1. These Terms are governed by and construed in accordance with the laws of Lithuania. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lithuania.
